 The Unity International Foundation Inc. referred as The Flagami Fiesta is offering  a “Vending/ Exhibition Space” to vendors under terms and conditions set forth in this agreement.

 The event: Flagami Fiesta will be holding its Monthly Event on Wednesday Friday, February, 21st, 2003, in the Flagami Triangle in the City of Miami 6:00 noon and 10:00 pm.  All Vendors and exhibitors must be ready and set up by 4:30:00 pm that day and all vehicles MUST be removed by no later then 4.00 pm or they will be removed by an assigned Tow Company.  All must have their booths opened for business during the time of the event and are responsible for the personnel to operate the both.  The vendors are responsible for their own parking in the Flagami area, WE are NOT Responsible for Vehicles Towed Away, at the owner’s expense. You have the option to park across at Sunshine Auto Glass for a $5. fee payable to them

 Vending Space:  Flagami Fiesta will provide a 10 feet Vendor Exhibition Space for miscellaneous Vendors use during the time of the event. Such space will be assigned by Flagami Fiesta and its sole discretion. Notification of the location of this space will be made upon acknowledgement of receipt of the signed agreement and full payment. Space will be assigned in order of payment received and they will be responsible for any liability insurance and state or local taxes to be paid.

 Vendors acknowledge that booth spaces do NOT have electricity and they are responsible to provide their own. All of vendors Chairs, Tables, good s and or equipment must be maintained WITHIN THE SPACE PROVIDED TO THE VENDORS, UNLESS THE chamber has granted written permission to do so as a Specific, Special Sponsor. Vendor’s failure to remain within the limits on the space provided gives the Flagami Fiesta the right to remove Vendor from the premises and to render this agreement null and void with no monies refunded to vendor.

 Unity International Foundation Inc. and Flagami Fiesta has entered into a contract with Baron’s Models Team (305-262-5255 www.baron1.com) who can provide promotional personnel and or models to operate the vendors booths and Betty Bu who can provide tables and chair at a special rate paid in advance to Unity International Foundation 1 table and 2 chairs $25.

 Sodas/Beer and Water sales;

As a Vendor you are NOT to sell any water, Beer or Sodas in your booth, unless previously agreed in writing by the Foundation Inc. referred as The Flagami Fiesta

Liability

1 Damage to Property;

As a material inducement for Unity International Foundation Inc. and Flagami Fiesta to provide vendor with the above mentioned space, Vendor exhibitors and or sponsors expressly agrees to hold harmless and indemnify the  Unity International Foundation Inc. and Flagami Fiesta and organizers for any damages arising as a result of any of the following, (1) damages to space, booth or other fixtures on the premises, (2) damages to vendors property and (3) damages to the property of another vendor, International Foundation Inc. and Flagami Fiesta, and or the city of Miami and Miami-Dade County, spectator which is caused by the acts intentional or otherwise, of Vendor, its agents, employees or servants.

Liability Limitations:

2 As a material inducement for Unity International Foundation Inc. referred as The Flagami Fiesta to provide Vendor with the above mentioned space. Vendor expressly agrees to hold harmless and indemnify Unity International Foundation Inc. and Flagami Fiesta for any damages arising as a result of any of the following (1) injuries to vendor, its employees, its agents, or servers, (2) injuries to spectators or any other participant from any cause whatsoever which is proximally caused, arises out of or results from Vendor’s activities, including Vendors business operations during the period of the festival to include Set Up and Tear Down.

Vendor expressly acknowledges covenants and agrees to the above limitations shall extend in the periods before during and after the event.

 Fire Loss, Governmental Restriction and Condemnation: In the event, the booth/space provided to Sponsor shall be damaged or destroyed by fire, other cause; or if by any reason of governmental restriction or condemnation, Sponsor/Vendor/ Exhibitors is prohibited from operating its business; or if the event is prohibited by governmental restriction or otherwise, then Vendor or exhibitors waives any and al claims for damages caused thereby, except the return of the registration fee if the event is canceled prior to the commencement date.  However, in no event will any fees be returned to food or any other vendors if the even is canceled while in progress.

 Eligibility: Unity International Foundation Inc. referred as the Flagami Fiesta shall have full discretion to approve Sponsors items to be sold and to determine if such items are unsuitable or offensive to the general public.  In the even that an item's) is considered unsuitable, the Vendor and or exhibitors will be asked to close his/her booth at once, and Vendor and or exhibitor shall not be entitled to a refund.

 It is not the Unity International Foundation Inc. referred as The Flagami Fiesta intention to place unreasonable restrictions upon the Sponsor, however, Unity International Foundation Inc. referred as The Flagami Fiesta reserves the right to limit or restrict the sale of products, which are damaging to its interests.  Unity International Foundation Inc. referred as The Flagami Fiesta may also, in its sole discretion, prohibit certain activities such as playing of unreasonable loud music, improper dress code and reserves the right to remove the Sponsor/Vendor if he/she persists, and to retain the money paid under the agreement.

 Failure to Fulfill Contract:  In the event the Sponsor, Vendors and or Exhibitor fails to fulfill the terms and conditions of this Agreement, all reservations for vending space contract deposits and all monies paid shall be retained by Unity International Foundation Inc. referred as The Flagami Fiesta as liquidated damages.  The decision as to whether or not a violation of the Agreement has occurred shall be at the exclusive discretion of Unity International Foundation Inc. referred as The Flagami Fiesta.

 Cancellation and Modification:  Unity International Foundation Inc. referred as The Flagami Fiesta reserves the right to rescind and cancel this Agreement under the clauses of this Agreement or for any other reason, which the Chamber deems reasonable and necessary.  No modification of this Agreement is binding, unless approved in writing by the Unity International Foundation Inc. referred as The Flagami Fiesta and the Vendor, Sponsor and or Exhibitors.

 Rules and Regulations:  Foundation Inc. referred as The Flagami Fiesta shall have the right to make such rules and regulations for the event, as it deems necessary and proper and may amend same, at any time and such rules, regulations and amendments thereto shall be conclusive to both parties.

 Security:  The Sponsor is responsible for its own security with respect to cash or belongings and the Unity International Foundation Inc. referred as The Flagami Fiesta will not be responsible.  Unity International Foundation Inc. referred as The Flagami Fiesta will be providing Police Officers as general security for the premises during the event.

 Space Charge:

Arts and Crafts/ Artist for Sale $50.    Food & Stores $150. Corporate Sponsors: $500. Artist Exhibitors (No Sales) exhibit Only:$25. 

Prices:  Sponsors / Artists / Exhibitors will pay Unity International Foundation Inc. referred as The Flagami Fiesta the sum of $_____.00  for the sponsorship of ______________________________ will receive the vending space under this Agreement.  Any additional chairs and tables will be available for rental and Sponsor is responsible for returning the items or full payment of item if damaged, or lost.

 Payment must be received with a copy of the Contract with the appropriate original signatures.  Payment must be received no later than two weeks prior to event or this Agreement shall be null and void.  Cash, cashier check or money order must make all payments payable to the Unity International Foundation Inc. referred as The Flagami Fiesta.  Please do not mail cash.  (Foundation Inc. referred as The Flagami Fiesta is not responsible for cash lost in mail)  If paying by cash, a receipt will be issued.  (No Money Refunded).

 Government Rules and Regulations: Sponsors agrees to abide by rules and regulations of the City of Sweetwater, Miami-Dade County, County Fire and City Police Departments, as well as all City, State or other governmental ordinances regarding the sale of merchandise.

 Taxes:  Each Sponsor is responsible to pay the 6.5 Florida tax or flat fee as the State regulates at the or after the event if selling any items or products.

 Wherefore:  The portion hereto having read understood and agree to all the terms and conditions set forth above, we now therefore set our hands and seals of the date written below.

 For Sponsor/Vendor: Any Sponsor/Vendor, who fails to comply with any of the above rules and regulations will have his/her permit revoked and will forfeit all contract payment and be required to leave the festival.

 Beverages:  The distribution and/or sales of any other brand of soda, beer or alcoholic beverages not sponsors will be strictly prohibited and is a breach of this Agreement.  The sale of alcoholic beverages to minors is strictly prohibited; it is the Food Vendor’s responsibility to ID.
